1. Acceptance of Terms

By accessing and using zarsco.com or engaging Zarsco's services, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our website or services.

2. Services

Zarsco provides AI development, software development, digital marketing, graphic design, and related technology consulting services. The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

3. Intellectual Property

All content on zarsco.com — including text, graphics, logos, and code — is owned by Zarsco and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

For client projects, ownership of deliverables is governed by the applicable SOW. Generally, upon full payment, clients receive ownership of custom-developed code and designs. Zarsco retains ownership of pre-existing tools, frameworks, and proprietary methodologies.

4. Payment Terms

• Payment terms are specified in individual project agreements
• Typical payment structure: 50% upfront, 50% on delivery
• Invoices are due within 15 days of issuance unless otherwise agreed
• Late payments may incur interest at 1.5% per month
• All prices are in INR unless otherwise stated; international clients may be invoiced in USD

5. Confidentiality

We treat all client information as strictly confidential. We are happy to sign Non-Disclosure Agreements (NDAs) before any engagement begins. Our team members are bound by confidentiality obligations. We will not disclose your business information, technical requirements, or project details to third parties without your consent.

6. Limitation of Liability

To the fullest extent permitted by law, Zarsco shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website.

Our total liability for any claim arising from a service engagement shall not exceed the fees paid by you for that specific engagement in the 3 months preceding the claim.

7. Warranties and Representations

Zarsco warrants that services will be performed in a professional manner consistent with industry standards. We warrant that deliverables will conform to the specifications in the applicable SOW.

The website and information on it is provided "as is" without warranties of any kind, express or implied.

8. Termination

Either party may terminate a service engagement with 30 days written notice. In the event of termination, the client shall pay for all work completed up to the termination date. Zarsco reserves the right to suspend services for non-payment or material breach of these terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.
